Requirements for Registration as a New Mexico Limited Partnership (for further information, please refer to Section 54-2-1 through 54-2-48 NMSA, 1978 compilation (1995 cum. Supp.)).

The certificate of registration must contain the following:

1. The name of the limited partnership;

2. The address of the office, and the name and address of the agent for service of process (refer to Section 54-2-5);

3. The names and business addresses of each general partner;

4. The latest date upon which the limited partnership is to dissolve;

5. Any other matters the general partners may want to include.

Further requirements for filing:

1. The name of the limited partnership must include the words "limited partnership" without abbreviation (Section 54-2-3A);

2. Two duplicate originals must be submitted for filing (Section 54-2-14);

3. The fee for filing a certificate of limited partnership is $100.00 (one hundred dollars) (Section 54-2-14C);

4. The name of each partnership, as set forth in its certificate of limited partnership: ". . . may not be the same as, or deceptively similar to, the name of any corporation or limited partnership organized under the laws of this state or licensed or registered as a foreign corporation or limited partnership in this state (Section 54-2-3C)." Before you attempt registration, we strongly urge you to contact this office at (800) 477-3632, to determine that the name you have chosen for your limited partnership is not the same as, or similar to, one that has been previously registered or reserved. Certificates of limited partnerships presented for registration that contain a name that is the same or similar to one already registered or reserved will be returned. This office will determine whether the name of the partnership is the same as, or deceptively similar to, a registered or reserved limited partnership.
